Rule 12.3(a) permits direct sourcing where only one supplier is able to deliver the required
services, or where no reasonable substitute exists. In this case, the proposed approach
supports the Government Procurement Principles, including value for money, by
maintaining continuity of provider given the significant reliance on, and investment in, prior
discovery work, established executive relationships, and programme sequencing.

Transitioning to an alternative provider at this stage would require re-establishment of
context and trust, resulting in duplication of effort and introducing material delivery and
organisational risk, such that no reasonable substitute exists that would achieve the same
outcome without disruption.
The risks associated with pausing delivery or transitioning to a different provider at this stage
are considered higher than the residual procurement risk associated with direct sourcing.
